The Restaurant, or its future incarnations, named overleaf agrees to honour the offer as indicated, on the online application form, under these terms and conditions by entering this agreement with Simard Ltd.

The Restaurant will be referred to as You and Siamrd Ltd will be referred to as We.

We will market You completely free of charge to our members.

This promotion will be available exclusively to our cardholders only on production of their own personal membership card.

We will provide You with a full listing and advertisement free of charge on our websites. We agree to place a hyperlink on our website to your website. In order for Us to promote You, we will provide you with a window sticker. You agree to seek our agreement before participating in any new dining card club schemes that you do not currently participate in.

This agreement will be in full force and effect until it is terminated in accordance with this procedure:

1) You agree to honour the promotion overleaf until We print our next directory. We will endeavour to print a directory every 12 months. You will not be able to remove the offer being promoted to members until we print our next directory. You must continue running the offer until the Termination Date.

2) If you wish to cease running the promotion you must notify us in writing at our trading address. You must send this notification by Royal Mail Special Delivery. We will then issue you with the Termination Date. The Termination Date will be the anticipated publication date of the next national directory. If the date of publication for the next national directory is within 2 months then the Termination Date will be for the following national directory.

You agree to cover all costs including but not limited to loss of income and damages to reputation that we incur if you refuse to honour the promotion or breach this agreement. If either party causes a serious breach of this Agreement, causing the other party a detrimental effect, they will cover the other party's costs including, but not limited to, reasonable new printing and time and labour costs resulting from their actions.

Simard Ltd retain the right to pass on some or all of their rights to the other or to another third party. This action will not terminate this agreement.

If any part of this agreement is held to be unenforceable for any reason, the remaining portion of this agreement shall remain in full force and effect, and shall be carried out in a manner which is consistent with the intentions of the parties hereto.
